Terms and Conditions
Effective date: 01.09.2026
1. About us and these Terms
1.1. These Terms and Conditions (the “Terms”) govern access to and use of the website https://aforio.com/ (the “Website”) and the cloud-based customer relationship management (“CRM”) software and related services offered through it under the name Aforio (the “Service”).
1.2. The Service is provided by Asortio Sp. z o.o., a limited liability company registered in Poland (the “Provider”, “we”, “us”):
Registered address: ul. Piotrkowska 116 / 52, 90-006 Łódź, Poland
Registration number (KRS): 0001042571
Phone: +48 780 595 155
Email: info@aforio.com
1.3. By creating an account, purchasing a subscription or otherwise using the Service, you (“Customer”, “you”) accept these Terms. If you act on behalf of a company or other organisation, you confirm that you are authorised to bind it, and “Customer” refers to that organisation.
1.4. The Service is intended primarily for business use. Where the Customer is a Consumer (a natural person concluding the contract for purposes not directly related to their business or professional activity), the provisions marked “Consumers” in these Terms apply in addition, and nothing in these Terms limits any mandatory rights that consumers have under applicable law.
2. Definitions
Account – the Customer's individual profile on the Website, giving access to the Service.
Authorised User – a person the Customer allows to use the Service under its Account.
Customer Data – all data, records, contacts and content that the Customer or its Authorised Users enter into or store in the Service.
Plan – one of the three subscription packages offered on the Website, each with its own scope, limits and price.
Sub-processor – a third party engaged by the Provider to process Customer Data as part of providing the Service.
Subscription – the Customer's right to use the Service under a selected Plan for a given period.
3. Description of the Service
3.1. The Service is a web-based CRM platform that allows Customers to manage contacts, sales pipelines, communication and related business information. The features, limits (for example number of users, records or storage) and prices of each Plan are described on the Website at https://aforio.com/#pricing and form part of these Terms.
3.2. We may improve, modify or extend the Service. We will not materially reduce the core functionality of a Plan during a paid Subscription period without a valid reason and reasonable prior notice (see section 19).
4. Technical requirements
4.1. To use the Service you need: a device with internet access, an up-to-date web browser (current versions of Chrome, Firefox, Safari or Edge) with JavaScript and cookies enabled, and a valid email address.
4.2. The Customer is responsible for its own internet connection, equipment and software.
5. Account registration
5.1. To use the Service you must create an Account and provide accurate, complete and current information. You must be at least 18 years old and have legal capacity to enter into a contract.
5.2. You are responsible for keeping your login credentials confidential and for all activity under your Account. Notify us immediately at info@aforio.com if you suspect unauthorised access.
5.3. An Account may not be shared between different people or organisations, and may not be transferred without our written consent.
6. Subscriptions, fees and payment
6.1. Plans and prices. The Service is offered under three Plans. Current prices are shown on the Website in EUR and include VAT where VAT is applicable. For business Customers who provide a valid VAT identification number and are entitled to the reverse-charge mechanism, VAT will not be charged and the invoice will show the net amount with a reverse-charge note instead.
6.2. Conclusion of the contract. The contract for the Service is concluded when you complete the order and payment (or activation) process for the selected Plan and we confirm it by email or by activating your Account.
6.3. Billing period and renewal. Subscriptions are billed monthly in advance and renew automatically for successive one-month periods until cancelled under section 8.
6.4. Payment. Payments are made by card. You authorise us and our payment processor to charge the card on file for each billing period. We will issue an invoice (including electronic invoices, with the Customer's consent) for each payment.
6.5. Late or failed payment. If a payment fails or is overdue, we may notify you and suspend access to the Service after reasonable notice until the amount is paid. Statutory interest may be charged on overdue amounts owed by business Customers.
6.6. Price changes. We may change prices for future billing periods. We will notify you at least 14 days before the change takes effect. If you do not agree, you may cancel before the new price applies; continued use after that date means you accept the new price. Price changes do not affect a period that has already been paid.
6.7. Upgrades and downgrades. You may move to a different Plan at any time. Upgrades take effect immediately, with the price difference charged pro rata for the remainder of the current period. Downgrades take effect from the next billing period.
6.8. Refunds. Except where required by law (including section 9 for Consumers) or where we state otherwise, fees already paid are non-refundable and no refunds are given for partially used periods.
7. Acceptable use
7.1. The Customer and its Authorised Users must use the Service lawfully and in accordance with these Terms. In particular, you must not:
- upload or transmit unlawful content, or content infringing third-party rights (including intellectual property and personal data rights);
- use the Service to send spam or unsolicited commercial communication in breach of applicable law;
- attempt to gain unauthorised access to the Service, other Accounts or our systems, or interfere with their security or performance;
- introduce malware or run automated scraping or load tests without our written consent;
- copy, reverse-engineer, decompile or resell the Service, or build a competing product using it, except as permitted by mandatory law;
- exceed the limits of the selected Plan or circumvent technical restrictions.
7.2. The Customer is solely responsible for having a lawful basis (for example consent, where required) to store and use the personal data of its own contacts in the Service and for complying with marketing, e-privacy and data protection laws.
7.3. If we reasonably suspect a breach of this section, we may remove content, suspend or restrict the Account and, in serious cases, terminate the contract under section 8.
8. Term, cancellation and termination
8.1. The contract is concluded for the billing period of the selected Plan and renews automatically as described in section 6.3.
8.2. Cancellation by the Customer. You may cancel your Subscription at any time in your Account settings or by email to info@aforio.com. Cancellation takes effect at the end of the current, already paid billing period; you keep access until then.
8.3. Termination by us. We may terminate the contract with immediate effect or suspend the Service if the Customer materially breaches these Terms (including non-payment after reasonable notice and unlawful use of the Service), or if required by law. We may also terminate the contract for convenience with at least 14 days' notice, in which case we will refund the pre-paid fees for the period after termination.
8.4. After termination. After the contract ends, access to the Account is disabled. For 14 days afterwards you may request an export of your Customer Data in a common format. After that period, we will delete Customer Data, except where we must retain it by law.
9. Right of withdrawal (Consumers)
9.1. A Consumer who concludes the contract at a distance has the right to withdraw from it within 14 days without giving any reason. The period starts on the day the contract is concluded.
9.2. To withdraw, send a clear statement to info@aforio.com or by post to the address in section 1.2. You may use the model withdrawal form required by law, but you are not obliged to. It is enough to send the statement before the period expires.
9.3. If the Consumer explicitly asks us to start providing the Service during the withdrawal period, and later withdraws, the Consumer must pay for the Service provided up to the moment of withdrawal, in proportion to the full price. Where the Service has been fully performed with the Consumer's prior express consent and acknowledgment that the right of withdrawal is lost once performance is complete, the right of withdrawal no longer applies.
9.4. We will refund payments due to withdrawal without undue delay and no later than 14 days after receiving the withdrawal statement, using the same payment method, unless you agree otherwise.
10. Customer Data and data protection
10.1. Ownership. As between the parties, the Customer owns and remains responsible for the Customer Data. The Customer grants us a limited, non-exclusive right to host, process and back up Customer Data solely to provide, secure and support the Service.
10.2. Roles under GDPR. With respect to personal data contained in Customer Data (for example the Customer's contacts and leads), the Customer is the controller and we act as processor on the Customer's behalf. Our processing is governed by a data processing agreement, available on request, including the list of Sub-processors and security measures.
10.3. Our own use of personal data. We process personal data of Website visitors and Account holders as an independent controller, as described in our Privacy Policy, available on request, including information on cookies.
10.4. Security and backups. We apply appropriate technical and organisational measures to protect Customer Data. The Customer remains responsible for maintaining its own copies of critical data and for managing user permissions within its Account.
10.5. Sub-processors. We may engage Sub-processors (for example hosting, email delivery and payment providers) to help deliver the Service. A current list of Sub-processors is available on request. We will inform the Customer of any intended change to this list, giving the Customer a reasonable opportunity to object on reasonable data-protection grounds before the change takes effect.
10.6. International transfers. Where a Sub-processor is located outside the European Economic Area, we will ensure the transfer is protected by an appropriate legal mechanism recognised under GDPR (such as an adequacy decision or Standard Contractual Clauses), details of which are available in our DPA or on request.
10.7. Security incidents. If we become aware of a personal data breach affecting Customer Data, we will notify the Customer without undue delay and provide the information reasonably necessary for the Customer to meet its own notification obligations under applicable data protection law.
11. Intellectual property
11.1. The Service, the Website, the Aforio name and logo, software, design, documentation and all related intellectual property rights belong to the Provider or its licensors. These Terms do not transfer any such rights to the Customer.
11.2. During the Subscription, we grant the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its internal business purposes under the selected Plan.
11.3. If you send us feedback or suggestions, you allow us to use them freely to improve the Service, without obligation to you.
12. Availability, maintenance and support
12.1. We aim to keep the Service available at all times, but do not guarantee uninterrupted or error-free operation. Access may be interrupted for maintenance, updates, security reasons or causes beyond our control. Where possible, planned maintenance will be announced in advance and carried out at times of low usage.
12.2. Support is provided by email at info@aforio.com, with a response time of 3–5 business days.
13. Liability
13.1. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intentional misconduct and, for Consumers, any mandatory statutory rights.
13.2. Business Customers. To the extent permitted by law: (a) the Service is provided on an “as is” and “as available” basis, and we give no warranty that it will meet the Customer's specific requirements or business results; (b) we are not liable for lost profits, lost revenue, loss of business opportunities or indirect and consequential damages; and (c) our total liability arising from or in connection with the contract in any 12-month period is limited to the fees paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim.
13.3. We are not liable for damage caused by the Customer's breach of these Terms, unlawful content or use of the Service, loss of access caused by the Customer's own equipment or credentials, or the actions of third-party services and integrations.
13.4. Consumers. Statutory warranty and conformity rules for digital services continue to apply. If the Service does not conform to the contract, the Consumer may exercise the rights provided by law, including bringing the Service into conformity, a price reduction or termination.
14. Indemnification
14.1. By us. We will defend the Customer against a third-party claim that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, and will indemnify the Customer against damages finally awarded, provided the Customer promptly notifies us of the claim and gives us control of its defence and settlement. This does not apply to claims arising from Customer Data, unauthorised modifications to the Service, or use of the Service in breach of these Terms.
14.2. By the Customer. The Customer will indemnify us against claims, damages and reasonable costs arising from Customer Data, the Customer's breach of these Terms, or the Customer's unlawful use of the Service, provided we promptly notify the Customer of the claim and give the Customer control of its defence and settlement.
15. Confidentiality
Each party will keep confidential any non-public information of the other party that it receives in connection with the Service and that is marked as confidential or would reasonably be understood as such, and will use it only to perform the contract. This does not apply to information that is public through no fault of the recipient, was lawfully known or independently developed by the recipient, or must be disclosed by law or by order of a court or authority.
16. Force majeure
Neither party is liable for delay or failure to perform its obligations (other than payment obligations) under these Terms where this results from causes beyond its reasonable control, including internet or telecommunications failures, cloud infrastructure or hosting provider outages, natural disasters, war, acts of government, or labour disputes. The affected party will notify the other party and resume performance as soon as reasonably possible once the cause has ceased.
17. Complaints
17.1. Complaints about the Service may be submitted by email to info@aforio.com or by post to the address in section 1.2. A complaint should include the Customer's name, Account email, a description of the problem and the requested resolution.
17.2. We will review the complaint and respond within 14 days of receiving it. If we need more information, we will contact you and the period will run from receiving it.
17.3. Consumers may also use out-of-court dispute resolution and enforcement bodies, such as the Trade Inspection (Inspekcja Handlowa), the municipal or district consumer ombudsman, or the Office of Competition and Consumer Protection (UOKiK). Use of these procedures is voluntary.
18. Governing law and disputes
18.1. These Terms and the contract are governed by Polish law. For Consumers, this does not deprive them of the protection of mandatory provisions of the law of the country where they habitually reside.
18.2. Disputes with Business Customers will be resolved by the court competent for the Provider's registered seat in Łódź, Poland, unless mandatory law provides otherwise.
18.3. Disputes with Consumers will be resolved by the courts competent under mandatory statutory provisions.
19. Changes to these Terms
19.1. We may amend these Terms for important reasons, such as changes in law, changes to the Service or its Plans, security or technical needs, or changes to our business model. We will notify Customers of amendments by email or through the Account at least 14 days before they take effect.
19.2. If the Customer does not accept the amendments, it may terminate the contract before they take effect, with effect from the end of the current paid period (or with a pro rata refund where the amendment is materially unfavourable to the Customer). Continued use of the Service after the effective date means acceptance.
19.3. Amendments do not affect contracts concluded before their effective date to the extent that would be prohibited by mandatory law.
20. Notices
Formal legal notices under these Terms (as opposed to routine service communications) must be sent in writing to the addresses in section 1.2 (for us) or to the email address on the Customer's Account (for the Customer). A notice is deemed received the next business day if sent by email, or 5 business days after posting if sent by registered post.
21. Entire agreement
These Terms, together with the DPA and any order confirmation or Plan description referenced in them, constitute the entire agreement between the parties regarding the Service and supersede any prior proposals, discussions or agreements on the subject. In the event of a conflict, a signed order form or separately negotiated written agreement between the parties prevails over these Terms.
22. Final provisions
22.1. If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain in force.
22.2. We may assign the contract to an affiliate or a successor to our business, with notice to the Customer. The Customer may not assign its rights or obligations without our written consent.
22.3. The Terms are available at https://aforio.com/ in a form that can be stored and printed. The contract is concluded in English [and, on request, in Polish].
22.4. Contact: Asortio Sp. z o.o., ul. Piotrkowska 116 / 52, 90-006 Łódź, Poland, info@aforio.com, +48 780 595 155.
